HNC Software has bought Systems/Link Corporation of Cranbury, New Jersey. Systems/Link develops mobile phone roaming data management, fraud and pre-paid billing software solutions for wireless telecoms providers.

HNC has acquired all of Systems/Link’s outstanding stock in exchange for 600,000 shares of HNC common stock and $5.6 million in cash. HNC also agreed to retire $5.7 million in debt.

“Expanding our footprint in wireless creates additional growth opportunity for HNC,” said John Mutch, president of HNC Software. “We can cross-sell our solutions to the System/Link customer base, while combining their wireless domain expertise with our predictive technologies to develop new wireless and mobile e-commerce solutions.”

The Systems/Link acquisition gives HNC a solid foothold into most wireless providers operating in North America. Systems/Link’s flagship product, RoamEx, the roaming data exchange network, covers more than 95% of the cellular populations in North America. RoamEx has begun penetrating international markets with nodes in Latin America and the Pacific Rim. Systems/Link’s customers will gain through FraudTec, to combat wireless fraud, and Home & Away, for prepaid billing and post-pay monitoring.

Tony Patterson, president of HNC Telecommunications Solutions, said: “Our combined customer base of more than 80 wireless and wireline carriers clearly positions HNC as a dominant player in telecommunications fraud management.”

Carriers will benefit from the merger in many ways. HNC’s advanced analytics combined with real-time call data streams from RoamEx will permit rapid development and deployment of new products and services for the emerging wireless data market. HNC can also use the RoamEx network to deliver its 4SCORE application decisioning solution for credit verification and risk assessment to Systems/Link’s wireless carrier base.

HNC and Systems/Link provide solutions through both platform license and application service provider methodologies, allowing carriers of all types to benefit from integrated customer acquisition and risk management technologies.

“We are now part of a larger organization with a strong reputation for technological innovation,” said Diane Sammer, CEO of Systems/Link. “We needed a partner who would supplement our wireless market presence and technology with access to new markets and synergistic technology, and we found that with HNC.”
